1. Identification of the Parties

The Geniau platform (accessible at geniau.com) is owned and operated by NAVROZ PARTICIPAÇÕES LTDA, a private legal entity registered under CNPJ/MF No. 64.335.226/0001-26, headquartered at Rua Min. Correia de Castro, 232, Vila Serralheiro, São Paulo/SP, ZIP 02.836-060, hereinafter referred to simply as "Geniau" or "Platform".

The user who accesses, registers on, or uses any functionality of the Platform shall be referred to as the "User".

2. Acceptance of Terms

By accessing, browsing, or using the Platform, the User declares that they have read, understood, and fully accepted these Terms of Use, the Privacy Policy, and the Cookie Policy. If the User disagrees with any provision, they must immediately cease using the Platform.

Geniau reserves the right to modify these Terms at any time by publishing the updated version on this page. Continued use after publication constitutes tacit acceptance of the changes.

3. Description of Services

Geniau is a digital innovation marketplace that offers:

  • Publication and commercialization of business ideas — Users can submit ideas that will undergo automated artificial intelligence analysis;
  • AI-generated business plans — analytical reports containing market research, financial analysis, projections, and viability indicators;
  • Business plan marketplace — generated and published plans can be purchased by interested third parties;
  • Automated idea mining — the Platform uses artificial intelligence to identify business opportunities based on real market needs.

Geniau acts as an intermediary technology platform and is not a party to transactions carried out between Users.

4. Registration and User Account

To access certain features, the User must create an account by providing truthful, complete, and up-to-date information. The User is solely responsible for the security of their access credentials and for all activities carried out under their account.

Geniau may suspend or terminate accounts that contain false or incomplete information or that violate these Terms, without prior notice and without right to compensation.

5. Nature of AI-Generated Content

Business plans, financial analyses, viability indicators (score, IRR, NPV, payback, ROI), and other content generated by artificial intelligence are exclusively informational and educational in nature.

They do not constitute financial, accounting, legal, or investment advice under Lei n.º 6.385/76 (CVM), CVM Resolution No. 19/2021, or Lei n.º 8.906/94 (OAB Statute). Geniau is not a financial institution, research firm, securities advisor, or law firm.

Financial projections are based on statistical models and hypothetical assumptions that may not materialize. No content on the Platform should be interpreted as an investment recommendation, guarantee of financial return, or promise of commercial viability.

We recommend that Users consult qualified professionals (accountants, lawyers, certified investment analysts) before making financial or business decisions based on Platform content.

6. Intellectual Property

The User is solely responsible for ensuring they hold the rights to the content they publish on the Platform. When submitting an idea, Geniau records a cryptographic hash (SHA-256) with a timestamp as proof of prior existence, but does not guarantee legal exclusivity over the idea nor does it replace patent or industrial design registration with INPI (National Institute of Industrial Property).

Content generated by the Platform's AI (business plans, analyses) is delivered to the User as a derivative work for personal use or commercialization within the marketplace. Geniau retains rights over the AI engine, algorithms, prompts, and Platform architecture.

7. Payments, Commissions, and Refunds

Payments are processed through certified partners (Stripe) and support credit card, PIX, and bank slip. Geniau charges a commission of 30% on idea sales and 20% on challenge rewards.

Refund policy: as digital content delivered immediately after purchase (Art. 49, §1 of the Consumer Protection Code), the 7-day right of withdrawal applies only when the User has not fully accessed the purchased content. After full access, no refund shall be granted, except in cases of proven defects in the content.

8. User Conduct

The following is expressly prohibited:

  • Publishing false, misleading, offensive, discriminatory content or content that violates third-party rights;
  • Using the Platform for money laundering, fraud, or any illegal activity;
  • Reverse engineering, scraping, or attempting unauthorized access to Platform systems;
  • Reselling or redistributing purchased content without express authorization;
  • Creating multiple accounts to circumvent limitations or promotions.

Geniau reserves the right to remove content, suspend or terminate accounts, and take appropriate legal action in case of violation of these Terms.

9. Limitation of Liability

To the maximum extent permitted by Brazilian law:

  • Geniau does not guarantee the commercial success of any idea, business plan, or venture;
  • Geniau is not liable for decisions made based on AI-generated content;
  • Geniau is not responsible for financial losses, lost profits, or indirect damages arising from the use of the Platform;
  • Geniau does not guarantee uninterrupted availability of the Platform, as scheduled or occasional maintenance may occur.

Geniau's total liability, under any circumstances, shall be limited to the amount actually paid by the User in the last 12 (twelve) months in relation to the service that gave rise to the complaint.

10. Dispute Resolution

The courts of São Paulo/SP, Brazil, are hereby elected to settle any disputes arising from these Terms, with express waiver of any other jurisdiction, however privileged. The parties may alternatively opt for resolution through mediation or arbitration, pursuant to Lei n.º 9.307/96.

11. Applicable Law

These Terms are governed entirely by the laws of the Federative Republic of Brazil, including but not limited to: the Civil Code (Lei n.º 10.406/2002), Consumer Protection Code (Lei n.º 8.078/90), Internet Civil Framework (Lei n.º 12.965/2014), General Data Protection Law (Lei n.º 13.709/2018), and Copyright Law (Lei n.º 9.610/98).
